Welcome to IndusFact.com ("Platform"), owned and operated by IndusFact B2B Solutions ("IndusFact", "we", "our", or "us").
These Terms & Conditions ("Terms") govern your access to and use of IndusFact.com, including all services, features, products, applications, content, communications, and future services offered through the Platform.
By accessing, browsing, registering for, or using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies published on the Platform.
If you do not agree with these Terms, you must discontinue use of the Platform immediately.
1. About IndusFact
IndusFact is a business-to-business (B2B) industrial marketplace designed to connect manufacturers, suppliers, dealers, traders, service providers, factory owners, and industrial buyers across India.
Our Platform enables businesses to discover opportunities, publish industrial listings, communicate with potential buyers or sellers, and participate in various marketplace services.
IndusFact is designed exclusively for industrial and business-related transactions. It is not a consumer marketplace, auctioneer, broker, reseller, dealer, importer, exporter, logistics provider, inspection agency, or financial institution.
From time to time, IndusFact may also introduce additional business services, knowledge resources, community features, educational initiatives, competitions, networking programmes, or other value-added services. Such services may be governed by separate or supplementary terms where applicable.
2. Definitions
For the purposes of these Terms:
Account means the registered user profile created to access certain features of the Platform.
Business User means any manufacturer, supplier, dealer, trader, service provider, buyer, organisation, or authorised representative using the Platform for business purposes.
Listing means any advertisement, product listing, wanted request, rental listing, business profile, service listing, industrial property listing, or other information published by a user.
Content includes text, photographs, videos, documents, specifications, drawings, logos, trademarks, reviews, comments, messages, and any other material made available through the Platform.
User Content means any Content submitted, uploaded, published, transmitted, or otherwise provided by a user.
Platform means IndusFact.com, its mobile versions, applications, software, APIs, and related services.
Services means all current and future services provided through the Platform.
Verification means any verification process conducted by IndusFact relating to business identity, GST registration, or other credentials.
3. Eligibility
The Platform is intended exclusively for legitimate business use.
By creating an account or using IndusFact, you represent and warrant that:
You are at least 18 years of age.
You are legally capable of entering into binding contracts under applicable law.
You are using the Platform for lawful business purposes.
The information you provide is accurate, complete, and up to date.
You are authorised to act on behalf of your business or organisation where applicable.
If you are registering on behalf of a company, partnership, proprietorship, LLP, government body, educational institution, or any other organisation, you represent that you have the authority to bind that entity to these Terms.
IndusFact reserves the right to request additional information or documentation to verify your eligibility where reasonably necessary.
4. Nature of the Platform
IndusFact operates solely as a technology platform that enables industrial businesses to connect and communicate.
We provide digital tools that allow users to publish listings, discover industrial opportunities, exchange enquiries, and interact with one another.
Unless expressly stated otherwise, IndusFact:
Does not own, manufacture, purchase, sell, or resell any products listed on the Platform.
Does not act as an agent for buyers or sellers.
Does not negotiate contracts on behalf of users.
Does not inspect or certify listed products unless expressly stated.
Does not guarantee that any transaction will be completed.
Does not become a party to any contract entered into between users.
Any agreement, negotiation, quotation, payment, inspection, warranty, delivery, installation, return, refund, or dispute arising from a transaction remains solely between the participating parties.
Users are responsible for conducting their own commercial, technical, financial, and legal due diligence before entering into any transaction.
5. Marketplace Intermediary Status
IndusFact operates as an intermediary within the meaning of the Information Technology Act, 2000 and applicable rules made thereunder.
Our role is limited to providing an online platform that enables users to publish listings, discover business opportunities, and communicate with one another.
Accordingly:
We do not initiate transactions between users.
We do not select buyers or sellers.
We do not determine transaction terms.
We do not take possession of listed goods.
We do not guarantee the quality, safety, legality, ownership, authenticity, availability, suitability, or performance of any products or services listed by users.
We do not guarantee the identity, reliability, financial capability, or conduct of any user.
Users remain solely responsible for all information they publish and all transactions they undertake through the Platform.
IndusFact reserves the right to review, moderate, suspend, remove, restrict, or refuse any listing, account, communication, or content where reasonably necessary to:
Comply with applicable law.
Protect the security or integrity of the Platform.
Investigate suspected fraud or abuse.
Enforce these Terms.
Respond to valid legal requests.
Protect the rights, safety, or interests of users or third parties.
Such moderation activities do not create any obligation on IndusFact to monitor every listing or communication, nor do they constitute approval, certification, endorsement, or verification of all content available on the Platform.
6. User Accounts
Certain features of the Platform require you to create a registered account.
You agree to:
Provide accurate, complete, and current information during registration.
Keep your account information updated at all times.
Maintain the confidentiality of your login credentials.
Use only one account unless expressly permitted otherwise.
Immediately notify us of any unauthorised access or suspected compromise of your account.
You are responsible for all activities carried out through your account unless you promptly notify us of unauthorised access.
We reserve the right to suspend or restrict accounts that appear to contain false information, duplicate registrations, impersonation, or activities that may compromise the integrity or security of the Platform.
7. Business Verification
Building trust is one of the core objectives of IndusFact. To help businesses make informed decisions, we may offer voluntary or mandatory verification programmes for certain users or services.
Verification may include, where applicable:
GSTIN verification.
Business identity verification.
Contact information verification.
Document verification.
Other verification processes introduced by IndusFact from time to time.
Businesses participating in verification programmes may be required to submit supporting documents for review.
Verification badges or indicators displayed on the Platform signify only that certain information has been reviewed based on the documents or information provided to us at the time of verification.
Verification does not constitute:
A guarantee of product quality.
A guarantee of business performance.
A financial endorsement.
A legal certification.
A recommendation by IndusFact.
A guarantee that future transactions will be successful.
Users are encouraged to conduct their own commercial, financial, legal, and technical due diligence before entering into any transaction.
IndusFact reserves the right to refuse, suspend, revoke, or modify any verification status where information becomes inaccurate, misleading, expired, incomplete, fraudulent, or otherwise unreliable.
8. Listings and User Content
IndusFact enables users to publish industrial listings and other content through the Platform.
You retain ownership of the content you upload. However, by publishing any content on the Platform, you represent and warrant that:
You own the content or have all necessary rights and permissions to publish it.
Your content is accurate to the best of your knowledge.
Your content does not infringe the intellectual property or other rights of any person.
Your content complies with these Terms and all applicable laws.
You are solely responsible for all content you publish.
8.1 Listing Accuracy
Users must ensure that every listing contains information that is accurate, complete, and not misleading.
Where applicable, listings should accurately describe:
Product name.
Specifications.
Condition (new, used, refurbished, etc.).
Quantity.
Availability.
Pricing or pricing method.
Country of origin, where applicable.
Warranty or return terms, where applicable.
Any known limitations or defects that could reasonably influence a buyer's decision.
Knowingly publishing false, deceptive, or misleading information may result in suspension or removal of the listing or account.
8.2 Industrial-Only Platform
IndusFact is intended exclusively for industrial and business-related listings.
We reserve the right to reject or remove listings that do not align with the purpose of the Platform, including but not limited to consumer goods, personal classifieds, prohibited products, illegal content, or listings that may negatively affect the quality or integrity of the marketplace.
8.3 Listing Moderation
To maintain the quality and integrity of the Platform, listings may be reviewed before publication or at any time thereafter.
Our moderation process may include reviewing:
Listing titles.
Descriptions.
Images and videos.
Categories.
Pricing information.
Contact information.
Compliance with our policies.
Suspected spam or fraudulent activity.
Moderation is intended to improve platform quality and does not constitute certification, endorsement, or verification of the listing.
8.4 Listing Removal
IndusFact may remove, suspend, edit, restrict, or refuse any listing where reasonably necessary, including where:
The listing violates these Terms.
The listing violates applicable law.
False or misleading information is identified.
Intellectual property infringement is alleged.
Fraudulent activity is suspected.
Duplicate or spam listings are detected.
Required verification cannot be completed.
A valid legal request is received.
The listing may expose users or the Platform to legal or security risks.
Where reasonably practicable, we will notify the affected user and provide an opportunity to respond before taking permanent action. However, immediate action may be taken where required by law, necessary to protect users, or to prevent ongoing harm.
9. User Content Licence
You retain ownership of all intellectual property rights in the content you submit to IndusFact.
However, by uploading or publishing any content, you grant IndusFact a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to:
Host.
Store.
Reproduce.
Display.
Publish.
Index.
Translate.
Resize.
Optimise.
Distribute.
Promote.
Archive.
such content solely for the purposes of:
Operating the Platform.
Improving user experience.
Displaying search results.
Marketing the Platform.
Preventing abuse.
Creating previews and thumbnails.
Maintaining platform functionality.
Complying with legal obligations.
This licence continues only for so long as reasonably necessary to operate the Platform and fulfil legal or operational obligations.
9.1 Watermark Authorisation
To help protect users against unauthorised copying, misuse, and image theft, you expressly authorise IndusFact to apply its logo, watermark, branding, compression, resizing, optimisation, or other reasonable modifications to photographs, videos, and other media uploaded to the Platform.
These modifications are intended solely to improve presentation, optimise delivery, protect intellectual property, and maintain platform consistency.
Ownership of the underlying media remains with the original rights holder.
9.2 Community Content
From time to time, IndusFact may introduce additional community features such as blogs, comments, forums, knowledge articles, competitions, educational programmes, reviews, ratings, discussion boards, or similar services.
Unless otherwise stated, content submitted to such services shall also be treated as User Content and shall be governed by these Terms.
Additional service-specific terms may apply to particular community features.
10. User Responsibilities
Every user contributes to maintaining a trustworthy and professional marketplace.
Accordingly, you agree to:
Provide accurate and truthful information.
Maintain the confidentiality of your account credentials.
Conduct business honestly and fairly.
Comply with all applicable laws and regulations.
Respect the intellectual property rights of others.
Keep your listings updated.
Respond responsibly to enquiries.
Cooperate with reasonable verification requests.
Maintain appropriate business records where required by law.
You remain solely responsible for your dealings with other users, including negotiations, inspections, quotations, payments, transportation, installation, warranties, taxes, and after-sales obligations.
11. Prohibited Activities
You agree not to use the Platform to:
Publish false, misleading, fraudulent, or deceptive information.
Impersonate another person or business.
Use another person's identity or GSTIN without authorisation.
Infringe copyrights, trademarks, patents, or other intellectual property rights.
Publish illegal, obscene, defamatory, abusive, hateful, or offensive material.
Upload malware, viruses, ransomware, or malicious code.
Attempt unauthorised access to the Platform or other user accounts.
Circumvent security measures or verification processes.
Collect personal information from other users without consent.
Use automated bots, scrapers, crawlers, or similar tools without our written permission.
Manipulate search rankings, engagement metrics, or platform algorithms.
Create duplicate or fake accounts.
Interfere with the normal operation of the Platform.
Promote prohibited, restricted, or unlawful products or services.
Use the Platform in any manner that could damage its reputation, security, or lawful operation.
Violation of this section may result in immediate moderation action, suspension, termination, or reporting to appropriate authorities where required.
12. Fees, Subscriptions and Payments
Certain services on IndusFact may be offered free of charge, while others may require payment.
Chargeable services may include, but are not limited to:
Featured Listings.
Premium Listings.
Advertising packages.
Subscription plans.
Business promotion services.
Verification services.
Future premium marketplace features.
All applicable fees will be clearly displayed before you complete your purchase.
Unless otherwise stated:
All prices are exclusive of applicable taxes.
Applicable GST will be charged where required by law.
Payments shall be processed through authorised payment partners.
An electronic invoice or payment confirmation will be issued where applicable.
12.1 Payment Processing
Payments made through the Platform may be processed using authorised third-party payment gateways such as Razorpay or other approved payment service providers.
IndusFact does not store your complete payment card details, banking credentials, UPI PIN, or similar sensitive payment information.
Such information is processed directly by the payment provider in accordance with its own terms and privacy practices.
12.2 Refunds
Unless expressly stated otherwise in our Refund Policy, fees paid for subscriptions, advertising packages, promotional services, or other paid services are non-refundable, except where required by applicable law.
Separate refund, cancellation, or service-specific policies may apply to particular services and shall be incorporated into these Terms by reference.
12.3 Future Monetisation
As the Platform evolves, IndusFact may introduce additional commercial services, including membership programmes, advertising products, rewards programmes, referral incentives, cashback offers, digital services, or other business features.
The availability and use of such services may be governed by separate terms, pricing schedules, or promotional conditions.
13. Privacy and Data Protection
Your privacy is important to us.
The collection, use, storage, disclosure, and protection of your personal information are governed by our Privacy Policy, which forms an integral part of these Terms.
By using the Platform, you acknowledge that you have read and understood our Privacy Policy and consent to the processing of your information in accordance with applicable laws and our published policies.
Where personal data is processed, IndusFact acts in accordance with the Digital Personal Data Protection Act, 2023 (DPDP Act) and other applicable Indian laws.
Nothing in these Terms limits the rights available to you under applicable privacy legislation.
14. Notice and Takedown Procedure
IndusFact is committed to maintaining a lawful, safe, and trustworthy marketplace.
If you believe that any content available on the Platform is unlawful, defamatory, fraudulent, infringes your intellectual property rights, violates applicable law, or otherwise breaches these Terms, you may notify us by submitting a written complaint to our designated Grievance Officer.
Where possible, your complaint should include:
Your full name and contact information.
Identification of the content being reported.
The URL or Listing ID.
A description of the alleged violation.
Supporting documents or evidence, where available.
A declaration that the information provided is accurate and made in good faith.
14.1 Review Process
Upon receiving a valid complaint, IndusFact may:
Acknowledge receipt of the complaint.
Request additional information where necessary.
Temporarily restrict access to the content.
Contact the user who published the content.
Conduct an internal review.
Remove or disable access to the content where appropriate.
Take action against repeat offenders.
Cooperate with competent authorities where legally required.
Our review process is intended to balance the rights of complainants, content owners, and other users while complying with applicable law.
14.2 Illegal Content
IndusFact reserves the right to remove or disable access to content that:
Violates applicable law.
Infringes intellectual property rights.
Promotes fraud or deceptive practices.
Contains malware or malicious software.
Encourages violence, hatred, or unlawful conduct.
Violates court orders or government directions.
Otherwise breaches these Terms.
Where required under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, we aim to act on valid takedown requests within the timelines prescribed by applicable law.
14.3 Law Enforcement Cooperation
IndusFact may preserve, disclose, or provide relevant information to law enforcement agencies, courts, regulators, or other competent authorities where required under applicable law or pursuant to a lawful request.
We may also preserve logs, account records, communications, or other information where reasonably necessary to investigate fraud, protect users, enforce these Terms, or comply with legal obligations.
Nothing in these Terms shall be interpreted as limiting our obligations under applicable law.
15. Electronic Communications
By creating an account or using the Platform, you consent to receive electronic communications from IndusFact.
Such communications may include:
Account verification.
Password reset notifications.
Listing status updates.
Enquiry notifications.
Payment confirmations.
Verification updates.
Security alerts.
Policy updates.
Service announcements.
Marketing communications (subject to your communication preferences).
Electronic communications sent to your registered email address or made available through your account dashboard shall satisfy any legal requirement that such communications be in writing, unless applicable law requires otherwise.
You may opt out of marketing communications at any time using the unsubscribe option provided in those communications.
Operational, security, legal, and account-related communications cannot be opted out of while your account remains active.
16. Suspension and Termination
IndusFact aims to maintain a safe, professional, and trustworthy marketplace for all users.
Accordingly, we reserve the right to suspend, restrict, or terminate access to the Platform where reasonably necessary.
16.1 Suspension by IndusFact
We may suspend or restrict your account where we reasonably believe that:
You have materially breached these Terms.
Your activities violate applicable law.
Fraudulent or misleading activity is suspected.
Your account poses a security risk.
Required verification cannot be completed.
You repeatedly violate our community or listing guidelines.
We receive valid legal instructions requiring us to do so.
Where reasonably practicable, we will provide notice and an opportunity to respond before taking permanent action.
However, immediate suspension may occur where necessary to:
Protect users.
Prevent ongoing harm.
Preserve evidence.
Comply with applicable law.
Respond to emergency legal requests.
16.2 Termination by You
You may close your account at any time by following the account closure process or contacting our support team.
Account closure does not automatically remove information that we are legally required or otherwise permitted to retain under applicable law or our Privacy Policy.
16.3 Effect of Termination
Termination of your account does not affect:
Outstanding payment obligations.
Rights granted under intellectual property licences.
Confidentiality obligations.
Indemnification obligations.
Limitation of liability provisions.
Rights relating to investigations or legal proceedings.
Any provisions intended by their nature to survive termination.
17. Disclaimers and Limitation of Liability
The Platform is provided on an "as is" and "as available" basis.
To the maximum extent permitted by applicable law, IndusFact makes no representation or warranty regarding:
The accuracy of user-generated content.
The legality of listings.
Product quality.
Product availability.
Product ownership.
Seller reliability.
Buyer intentions.
Continuous platform availability.
Uninterrupted access.
Error-free operation.
Fitness for any particular purpose.
Because transactions occur directly between users, IndusFact is not responsible for:
Product quality.
Product specifications.
Pricing.
Delivery.
Installation.
Warranty.
Payment disputes.
Commercial negotiations.
Contract performance.
Losses arising from transactions between users.
Users are solely responsible for conducting appropriate due diligence before entering into any transaction.
17.1 Limitation of Liability
To the fullest extent permitted by law, IndusFact, its directors, employees, affiliates, partners, licensors, and service providers shall not be liable for any:
Indirect damages.
Consequential damages.
Incidental damages.
Special damages.
Loss of profits.
Loss of business.
Loss of goodwill.
Loss of data.
Business interruption.
Loss arising from user conduct or third-party actions.
Where liability cannot legally be excluded, our aggregate liability shall not exceed the amount actually paid by you to IndusFact for the specific service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to such liability.
Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable Indian law.
18. Indemnification
You agree to defend, indemnify, and hold harmless IndusFact, its directors, officers, employees, affiliates, licensors, contractors, and service providers from and against any claims, actions, proceedings, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising from or relating to:
Your use of the Platform.
Your breach of these Terms.
Your violation of applicable law.
Your User Content.
Your Listings.
Your infringement of intellectual property rights.
Fraudulent or misleading conduct.
Transactions entered into by you.
Any claim brought by another user or third party arising from your actions.
This indemnity survives the termination of your account or your use of the Platform.
19. Force Majeure
IndusFact shall not be liable for any delay, interruption, failure, or inability to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control.
Such circumstances may include, but are not limited to:
Natural disasters.
Floods, earthquakes, storms, or fires.
Epidemics or pandemics.
War, terrorism, civil unrest, or riots.
Government actions, restrictions, or regulatory changes.
Court orders.
Internet or telecommunications failures.
Cyber-attacks or distributed denial-of-service (DDoS) attacks.
Power failures.
Labour disputes or strikes.
Failure of cloud infrastructure providers or third-party service providers.
Any other event beyond our reasonable control.
Where reasonably practicable, we will make commercially reasonable efforts to restore affected services as soon as possible.
20. Governing Law and Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of India.
Before initiating formal legal proceedings, the parties agree to make reasonable efforts to resolve any dispute through good-faith discussions.
If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the competent courts having jurisdiction over the location of IndusFact's registered office, unless applicable law provides otherwise.
Note: Once your registered office is finalised, replace this clause with the specific city (e.g., Delhi, Gurugram, Faridabad, etc.) to avoid ambiguity.
Nothing in these Terms limits any statutory rights available under applicable law.
21. Miscellaneous
21.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the complete agreement between you and IndusFact regarding your use of the Platform.
They supersede all previous discussions, understandings, or agreements relating to the subject matter covered herein.
21.2 Severability
If any provision of these Terms is held to be unlawful, invalid, or unenforceable by a court or competent authority, the remaining provisions shall remain in full force and effect.
The invalid provision shall be interpreted, modified, or replaced to the minimum extent necessary to make it enforceable while preserving its original intent wherever possible.
21.3 Waiver
Failure by IndusFact to enforce any provision of these Terms on one occasion shall not constitute a waiver of our right to enforce that provision or any other provision in the future.
21.4 Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.
IndusFact may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate restructuring, sale of assets, or other legitimate business transaction.
21.5 Survival
The following provisions shall survive termination or expiration of these Terms to the extent necessary to give them effect:

User Content Licence.
Watermark Authorisation.
Privacy obligations.
Disclaimers.
Limitation of Liability.
Indemnification.
Governing Law.
Dispute Resolution.
Payment obligations.
Any other provision which by its nature is intended to survive termination.
21.6 Electronic Records
These Terms constitute an electronic record under the Information Technology Act, 2000.
No physical, electronic, or digital signature is required for these Terms to be valid and enforceable to the extent permitted by applicable law.
Your continued access to or use of the Platform constitutes your acceptance of these Terms.
22. Future Services
IndusFact continuously evolves to better serve India's industrial community.
From time to time, we may introduce additional services, features, tools, programmes, or business solutions, including community initiatives, knowledge resources, networking features, educational content, competitions, memberships, subscriptions, marketplace enhancements, or other value-added services.
Certain services may be governed by separate service-specific terms, policies, pricing schedules, or participation rules.
Where additional terms apply, they will be made available before you use the relevant service and shall form part of your agreement with IndusFact.
23. Changes to these Terms
We may update these Terms from time to time to reflect:
Changes in applicable laws.
Regulatory requirements.
Platform improvements.
Introduction of new services.
Security enhancements.
Operational requirements.
Business developments.
Whenever material changes are made, we will:
Update the Effective Date at the beginning of these Terms.

Your continued use of the Platform after the revised Terms become effective constitutes your acceptance of the updated Terms.
