Welcome to IndusFact.com (the “Platform”), operated by IndusFact Technologies Pvt. Ltd. (“we,” “us,” or “our”). By accessing or using our Platform—whether registering an account, posting or browsing listings, or using any other feature—you agree to be bound by these Terms & Conditions (the “Terms”). If you disagree with any part of these Terms, please discontinue use immediately.

1. Definitions

  • Platform: The website and services available at IndusFact.com.

  • User / You: Anyone accessing or using the Platform, including businesses and individuals.

  • Listing: Any ad, post, or content uploaded by a User offering surplus or obsolete industrial equipment, machinery, or related products for sale or rent.

  • Services: The tools and functionalities provided by the Platform (e.g., posting, searching, messaging, payment integration).

2. Role & Liability

  1. Intermediary Only. We act solely as an online venue; we do not own, list, sell, or take title to any Listings.

  2. User Responsibility. All transactions occur directly between Users. You acknowledge and agree that any dispute, injury, loss, or liability arising from transactions rests solely between the transacting parties.

  3. No Warranties. We make no representations about the accuracy, quality, legality, or safety of any Listings or transactions.

3. Account Registration

  1. Eligibility. You must be at least 18 years old and legally able to enter contracts.

  2. Account Information. Provide accurate, up‑to‑date information. If details change, you must update your account promptly.

  3. Security. Keep your password and login details confidential. You’re responsible for all activity under your account. Notify us immediately of unauthorized access.

4. User Conduct

You agree not to:

  • Post illegal, infringing, or defamatory content.

  • Violate any applicable export, import, or trade control laws.

  • Harass, threaten, or intimidate other Users.

  • Circumvent, disable, or interfere with any security or anti-spam measures.

5. Fees & Payment

  • Basic Use: Posting and browsing standard Listings is free.

  • Premium Services: Features such as “Urgent Ad” tags, featured placements, or expedited listings may incur fees. All fees will be clearly disclosed before purchase and are non-refundable unless required by law.

6. Intellectual Property

  • Our Content: All content on the Platform (excluding User Listings) is owned or licensed by us and protected by intellectual property laws.

  • User Content: By uploading Listings (text, images, videos), you grant us a worldwide, royalty-free, perpetual license to use, modify, and display your content to operate and promote the Platform.

7. Privacy & Data

Your use of personal data is governed by our Privacy Policy. By using the Platform, you consent to data collection, use, and sharing as described therein.

8. Disclaimers & Limitation of Liability

  • AS IS. The Platform is provided “as is” without warranties of any kind—express, implied, statutory, or otherwise.

  • No Liability. To the fullest extent permitted by law, we and our affiliates will not be liable for indirect, incidental, special, or consequential damages arising from your use of the Platform.

9. Indemnification

You agree to defend, indemnify, and hold harmless IndusFact Technologies Pvt. Ltd. and its officers from any claims, damages, or expenses (including legal fees) arising out of your breach of these Terms or your use of the Platform.

10. Termination

  • By Us: We may suspend or terminate your access, with or without notice, for any reason.

  • Surviving Sections: Sections on Role & Liability, Intellectual Property, Disclaimers, Indemnification, and Governing Law will survive termination.

11. Changes to Terms & Services

We may update these Terms or modify/disable any feature at any time. For material changes, we’ll notify you via email or on the Platform. Continued use of the Platform after notice constitutes acceptance.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
